Terms and Conditions

1. Acceptance of Terms
By accessing or using any part of Eigenn's website, platform, or services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. This agreement is effective from the date of your first access.
If you do not agree to these terms in full, you must not access or use Eigenn's systems. Continued use of the services following any update to these terms constitutes acceptance of the revised version.
2. Definitions
The following terms carry the meanings set out below throughout this document.
3. Use of Services
Eigenn grants Users a limited, non-exclusive, non-transferable licence to access and use the Services solely for lawful purposes and in accordance with these terms.
The following uses are expressly prohibited:
- Using the Services in any way that violates applicable laws or regulations.
- Attempting to reverse engineer, decompile, or extract source code from any part of the System.
- Circumventing or attempting to circumvent authentication, rate limits, or access controls.
- Submitting inputs designed to manipulate, destabilise, or deceive the intelligence layer.
- Reselling, sublicensing, or redistributing access to the Services without written authorisation.
- Uploading malicious code, conducting denial-of-service attacks, or interfering with system integrity.
- Scraping or bulk extracting data from the platform beyond permitted API usage.
4. User Responsibilities
Users are responsible for all activity conducted through their accounts and API credentials. By using the Services, you agree to:
- Provide accurate, current, and complete information during registration and maintain its accuracy.
- Protect credentials and API keys — you are responsible for all usage made under your account.
- Use the Services only for lawful purposes consistent with these terms and applicable law.
- Interact with the System in good faith and not in a manner intended to produce misleading outputs.
- Report any suspected security vulnerabilities or unauthorised access to Eigenn promptly.
Eigenn reserves the right to hold Users accountable for any damage or liability arising from violation of these responsibilities.
5. System Access
Eigenn does not guarantee uninterrupted, continuous, or error-free access to the Services. System availability may be affected by scheduled maintenance, infrastructure events, or factors beyond Eigenn's reasonable control.
Eigenn reserves the right to modify, limit, suspend, or withdraw access to any part of the Services at any time, with or without notice, for operational, security, or legal reasons. Where possible, advance notice will be provided through the system status page or registered contact channels.
6. Intellectual Property
All rights, title, and interest in and to the Services — including the System architecture, software, models, design, interfaces, documentation, and Content — are and remain the exclusive property of Eigenn and its licensors.
Users are prohibited from:
- Copying, reproducing, or distributing any part of the Content without written permission.
- Creating derivative works based on the System or its outputs for commercial purposes.
- Removing or altering any proprietary notices, labels, or markings within the Services.
- Using Eigenn's name, logo, or brand marks without prior written consent.
Outputs generated by the System in response to User inputs are subject to terms agreed separately in the applicable service agreement or API usage policy.
7. Limitations of Liability
To the maximum extent permitted by applicable law, Eigenn shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of data, business interruption, or reputational harm, arising from:
- Your use of, or inability to use, the Services.
- Errors, inaccuracies, or omissions in outputs generated by the System.
- Unauthorised access to or alteration of your data.
- Interruption or cessation of the Services.
Eigenn's total aggregate liability for any claim arising under these terms shall not exceed the amount paid by you for the Services in the twelve months preceding the event giving rise to the claim.
8. Disclaimers
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Eigenn expressly disclaims:
- Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Guarantees of specific outcomes, decisions, or results generated by the System.
- Warranties that the Services will meet all User requirements or operate without error.
Users acknowledge that artificial intelligence and decision systems operate within statistical boundaries and that outputs should be reviewed with appropriate human oversight before being relied upon for consequential decisions.
9. Termination
Eigenn reserves the right to suspend or permanently terminate User access to the Services at its sole discretion, with or without notice, in the following circumstances:
- Breach of any provision of these Terms and Conditions.
- Conduct that poses a risk to the security, integrity, or operation of the System.
- Non-payment of fees where applicable.
- Activity that may expose Eigenn to legal liability.
- Request by law enforcement or regulatory authority.
Upon termination, the User's right to access the Services ceases immediately. Provisions of these terms that by their nature should survive termination — including intellectual property, limitations of liability, and governing law — shall continue to apply.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from or related to these terms or the use of the Services shall be subject to the exclusive jurisdiction of the competent courts located in India.
Where applicable, the Information Technology Act 2000 and associated rules, along with relevant provisions of the Indian Contract Act 1872, govern the enforceability and interpretation of these terms.
11. Changes to These Terms
Eigenn reserves the right to modify these Terms and Conditions at any time. When material changes are made, notice will be provided via the platform or registered email address at least 14 days prior to the changes taking effect, where practicable.
The updated date at the top of this document reflects the most recent revision. Continued use of the Services following the effective date of any update constitutes acceptance of the revised terms. If you do not agree to the updated terms, you must discontinue use of the Services.
